TERMS OF USE/SERVICE

These Terms of Service (“Terms”) govern access to and use of Terrisage CRM and related applications, features and services (collectively, the “Platform”). By creating an account, signing an order form, paying an invoice, or using the Platform, the subscribing organisation (“Customer”) agrees to these Terms on behalf of itself and its authorised users (“Users”).
1. Scope and nature of the Platform
- Terrisage is a business-to-business CRM and workflow platform designed for real estate agencies, brokers, builders, developers and allied professional entities to manage leads/enquiries, contacts, listings, inventory, projects, internal tasks, and analytics.
- Terrisage is a technology provider only. Terrisage is not a broker, agent, promoter, adviser, intermediary, or representative in any real estate transaction, and does not verify listings, approvals, ownership, or claims.
2. Definitions
- Customer: the business entity subscribing to the Platform.
- Users: individuals authorised by Customer to access the Platform.
- Customer Data: all data, content and materials uploaded, stored, created, generated or processed by Customer/Users on the Platform (including leads, contacts, project/listing details, inventory, notes, attachments, and activity logs).
- Aggregated Insights: analytics, benchmarks, and reports generated from platform usage and/or Customer Data only in aggregated and de-identified form such that they do not identify an individual or a specific Customer.
3. Eligibility and authority
- The Platform is intended for professional business use in India.
- Users must be at least 18 years old.
- The person accepting these Terms represents they have authority to bind the Customer.
4. Account security and responsibilities
- Customer is responsible for all activity under its account and by its Users.
- Customer must maintain appropriate access controls, keep credentials confidential, and promptly disable access for Users who no longer require it.
- Terrisage is not responsible for unauthorised access arising from Customer's failure to secure credentials/devices.
5. Acceptable use
Customer and Users must not:
- Upload unlawful, infringing, misleading, defamatory, abusive, or irrelevant content (including unrelated graphic content) or content not connected to Customer's legitimate business use of the Platform.
- Use the Platform to spam, harass, unlawfully solicit, or violate any applicable law.
- Attempt to bypass security controls, access other tenants' data, probe, scan, or test vulnerabilities without written permission.
- Reverse engineer, decompile, or attempt to extract source code, algorithms, or non-public features.
- Use the Platform to build or operate a competing product by copying protected features, workflows, layouts, or confidential methods.
6. Listings, inventory, and compliance (Customer responsibility)
- All listing/inventory/project information and representations are provided by Customer.
- Customer represents it has the lawful right/authority to upload and use all listing content, including photos, floorplans, documents, and descriptions.
- Customer is responsible for compliance with applicable laws, including RERA (where applicable), consumer protection requirements, and any state/municipal rules relevant to its operations.
- Terrisage does not independently verify ownership, approvals, legality, or completeness of uploaded content.
7. WhatsApp deep-link
- The Platform may provide a “WhatsApp” action that opens WhatsApp on a User's device via deep-link / click-to-chat.
- Terrisage does not send WhatsApp messages on Customer's behalf and does not control message delivery, WhatsApp availability, or WhatsApp policies.
- Customer/Users are solely responsible for the content of communications and obtaining any required consents for contacting leads/clients.
8. Customer Data ownership and licence
- Customer retains ownership of Customer Data.
- Customer grants Terrisage a limited, non-exclusive licence to host, store, process, display and transmit Customer Data only to provide, secure, maintain and improve the Platform and to comply with legal obligations.
- Customer is responsible for ensuring Customer Data is accurate and lawfully collected.
9. Aggregated Insights
- Terrisage may generate and use Aggregated Insights for product improvement, benchmarking, and market intelligence.
- Terrisage may publish, license or sell Aggregated Insights only where they are aggregated and de-identified and do not identify any individual or the Customer.
- Terrisage does not sell personal data as such.
10. Privacy and data protection (India)
- Terrisage handles personal data according to the Terrisage Privacy Policy and applicable Indian law including the Digital Personal Data Protection Act, 2023.
- In many cases, Customer determines why/how end-customer personal data (leads, owners, clients) is used; Terrisage acts as a service provider processing it to provide the Platform.
- Customer is responsible for providing appropriate notices and obtaining lawful permissions/consents for personal data it uploads.
11. Subscription, pricing, billing, and taxes
- Order / Plan. Commercial terms (plan, duration, seats, price) are as shown at purchase, in onboarding records, or in an order form/invoice (“Order”).
- Promotional pricing (current). As of the Effective Date, promotional pricing may include:
- Base subscription fee: INR 32,999 (minimum) including 3 User logins/seats per year; and
- Additional User seat: INR 6,999 per extra User seat, for the same subscription period as the base plan, unless stated otherwise in the Order.
- Price changes. After the promotional limit or at any time for renewals/new Orders, Terrisage may change pricing/packaging with prior notice or by updating the price presented at checkout/on the Order.
- Taxes. Fees are exclusive of taxes unless stated otherwise. Applicable GST (if any) is payable by Customer.
- Payments. Payments may be collected via Razorpay and/or UPI and/or other methods made available by Terrisage.
- No auto-renew (current). Subscriptions do not auto-renew unless Terrisage explicitly introduces auto-renew and Customer opts in (or signs an Order stating otherwise). Customer must renew to continue access after expiry.
- Refunds. Fees are generally non-refundable, except as required by applicable law or as expressly stated in the Order.
12. Service availability; changes
- The Platform is provided on an “as available” basis.
- Terrisage may modify, improve, add, or discontinue features for product, security, or operational reasons.
- Terrisage does not guarantee uninterrupted uptime; downtime may occur due to maintenance, third-party dependencies, or events beyond Terrisage's control.
13. Support
Terrisage aims to provide support during standard business hours (IST) and reasonable assistance outside those hours as feasible. Terrisage makes no guarantee of response or resolution times unless agreed in writing in an Order.
14. Suspension and termination
- Terrisage may suspend or restrict access if it reasonably believes:
- these Terms are breached;
- there is fraud, abuse, security risk, or unlawful activity; or
- suspension is required by law or an authority.
- Customer may stop using the Platform anytime; fees already paid are not refundable unless required by law or stated in the Order.
- Upon termination/expiry, access ends. Terrisage may offer Customer a reasonable window to export Customer Data unless restricted for legal/security reasons.
15. Intellectual property
- Terrisage and its licensors own all rights in the Platform, software, trademarks, and documentation, excluding Customer Data.
- No rights are granted except as expressly stated in these Terms.
16. Disclaimers
- Terrisage does not provide legal, brokerage, regulatory, or investment advice.
- Terrisage does not guarantee outcomes such as lead conversion, sales, pricing accuracy, or revenue.
17. Limitation of liability
To the maximum extent permitted by law:
- Terrisage is not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits/revenue/business.
- Terrisage's total aggregate liability relating to the Platform will not exceed the fees paid by Customer to Terrisage for the six (6) months immediately preceding the event giving rise to the claim.
18. Indemnity
Customer will indemnify and hold harmless Terrisage from claims arising from:
- Customer Data (including unlawful/misleading listings or communications),
- violation of third-party rights (including IP),
- unlawful contact practices (spam/consent issues), or
- misuse of the Platform by Customer/Users.
19. Force majeure
Terrisage is not liable for failure/delay due to events beyond reasonable control (including internet/telecom outages, third-party service failures, natural events, governmental actions).
20. Governing law and jurisdiction
These Terms are governed by the laws of India. Courts at Hyderabad, Telangana have exclusive jurisdiction.
